These Terms and Conditions of Use (the “Terms of Use”) apply to the PeopleDoc Site located at www.people-doc.com, and all associated sites linked to www.people-doc.com by PeopleDoc, its subsidiaries and affiliates, including PeopleDoc Sites around the world (collectively, the “Site”). The Site is the property of PeopleDoc SAS. (“PeopleDoc”). BY USING THE SITE, YOU AGREE TO THESE TERMS OF USE; IF YOU DO NOT AGREE, DO NOT USE THE SITE.

PeopleDoc reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes. As long as you comply with these Terms of Use, PeopleDoc grants you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Site.

Some areas of the Site may have additional rules, guidelines, or terms of use. If there is a conflict between these Terms of Use and the rules, guidelines, or terms of use posted for a specific area of the Site, the latter shall have precedence with respect to your use of that area of the Site.

 

1. Use of Site Content
Through the Site, you have access to content, documents, materials, information, products, and services (collectively “Content”) such as publications, demonstrations, and product information. You may download, view, copy, and print Content that PeopleDoc publishes on the Site subject to the following: (a) the Content may be used solely for personal, informational, non-commercial purposes; and (b) the Content may not be modified or altered in any way. Except where your use constitutes “fair use” under copyright law, you may not otherwise use, download, upload, copy, print, display, perform, reproduce, publish, license, post, transmit, or distribute any Content from the Site in whole or in part without PeopleDoc’s express authorization.

 

2. Use of Public Areas
“Public Area” means a discussion group; chat area; bulletin board; news group; blog; wiki; letter to PeopleDoc, its webmaster, or employees; e-mail function; or other service in connection with which you can upload, e-mail, post, publish, or otherwise transmit Content. You agree not to upload, e-mail, post, publish, distribute, or otherwise transmit through a Public Area any Content that: (a) is false or misleading; (b) is defamatory; (c) is harassing or invades another’s privacy, or promotes bigotry, racism, hatred, or harm against any group or individual; (d) is obscene; (e) infringes another’s rights, including, but not limited to, intellectual property rights; (f) constitutes unsolicited bulk e-mail, “junk mail,” “spam,” or chain letters; or (g) violates any applicable laws or regulations. Public Areas shall be used in a noncommercial manner only. You shall not upload, e-mail, post, publish, distribute, or otherwise transmit any Content containing a solicitation of funds, promotion, advertising, solicitation for goods or services, or other commercial matter. You agree not to solicit other users of the Site to use or join or become members of any commercial online or offline service or other organization.


By uploading, e-mailing, posting, publishing, or otherwise transmitting Content to any Public Area or submitting any Content to PeopleDoc, you automatically grant (or warrant that the owner of such rights has expressly granted) PeopleDoc a worldwide, perpetual, royalty-free, irrevocable, nonexclusive, fully sublicensable right and license to use, reproduce, modify, adapt, publish, transmit, and distribute such Content in any form, medium, or technology now known or later developed. In addition, you warrant that all so-called moral rights in the Content have been waived. PeopleDoc has no obligation to monitor or participate in Public Areas. However, PeopleDoc reserves the right to review the Content in Public Areas and remove any Content at its sole discretion and without liability to you in doing so.

 

3. Unlawful or Prohibited Use
You may not use any “deep-link”, “page-scrape”, “robot”, “spider” or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Site or any Content, or in any way reproduce or circumvent the navigational structure or presentation of the Site or any Content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Site. PeopleDoc reserves the right to bar any such activity.

 

You may not attempt to gain unauthorized access to any portion or feature of the Site, or any other systems or networks connected to the Site or to any PeopleDoc server, or to any of the services offered on or through the Site, by hacking, password “mining” or any other illegitimate means.

You may not probe, scan or test the vulnerability of the Site or any network connected to the Site, nor breach the security or authentication measures on the Site or any network connected to the Site. You may not reverse look-up, trace or seek to trace any information on any other user of or visitor to the Site, or any other customer of PeopleDoc, including any PeopleDoc account not owned by you, to its source, or exploit the Site or any service or information made available or offered by or through the Site, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than your own information, as provided for by the Site.

You agree that you will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Site or PeopleDoc’s systems or networks, or any systems or networks connected to the Site or to PeopleDoc.

You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of the Site or any transaction being conducted on the Site, or with any other person’s use of the Site.

 

You may not forge headers or otherwise manipulate identifiers in order to disguise the origin of any message or transmittal you send to PeopleDoc on or through the Site or any service offered on or through the Site. You may not pretend that you are, or that you represent, someone else, or impersonate any other individual or entity.

 

You may not use the Site or any Content for any purpose that is unlawful or prohibited by these Terms of Use, or to solicit the performance of any illegal activity or other activity which infringes the rights of PeopleDoc or others.

 

4. Passwords and Security
Certain features or services offered on or through the Site may be protected and secured areas for authorized users only. You are entirely responsible for maintaining the confidentiality of the information you hold for your account, including your password, and for any and all activity that occurs under your account as a result of your failing to keep this information secure and confidential. You agree to notify PeopleDoc immediately of any unauthorized use of your account or password, or any other breach of security. You may be held liable for losses incurred by PeopleDoc or any other user of or visitor to the Site due to someone else using your password or account as a result of your failing to keep your account information secure and confidential.

 

5. Termination
You agree that PeopleDoc may, in its sole discretion, at any time terminate your access to the Site, including Public Areas, and any account(s) you may have in connection with the Site, without any liability to you in doing so. Access and activity on the Site may be monitored by PeopleDoc.

 

6. Third Parties 
The Site may provide links to third party Sites and access to Content from third parties. You agree that PeopleDoc is not responsible for the availability of and/or Content provided on third party Sites. You should refer to the policies posted by other Sites regarding privacy and other topics before you use them. You agree that PeopleDoc is not responsible for third party Content accessible through our Site. If you choose to purchase any products or services from a third party, your relationship is directly with the said third party. You agree that PeopleDoc is not responsible for: (a) the quality of third party products or services; and (b) fulfilling any of the terms of your agreement with the seller, including delivery of products or services and warranty obligations related to purchased products or services. You agree that PeopleDoc is not responsible for any loss or damage of any sort you may incur from dealing with any third party.

 

7. Disclaimer
The Site, and all Content provided on the Site, are provided on an “as is” and “as available” basis. PEOPLEDOC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PeopleDoc makes no warranty that: (a) the Site will meet your requirements; (b) the Site will be available on an uninterrupted, timely, secure, or error-free basis; (c) the results that may be obtained from the use of the Site or any Content offered through the Site will be accurate or reliable; or (d) the quality of any Content, purchased or obtained by you through the Site will meet your expectations. Any Content downloaded or otherwise obtained through the use of the Site is done at your own discretion and risk. PeopleDoc shall have no responsibility for any damage to your computer system or loss of data that results from the download or use of Content whether or not via the Site. PeopleDoc reserves the right to make changes or updates to the Site at any time without notice.

 

8. Limitation of Liability
IN NO EVENT SHALL PEOPLEDOC BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, ARISING FROM YOUR ACCESS TO, OR USE OF, THE SITE OR ANY CONTENT, DOCUMENTS, MATERIALS, INFORMATION, PRODUCTS OR SERVICES DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SITE.

Some jurisdictions do not allow the disclaimer or exclusion of certain warranties or the disclaimer, exclusion, or limitation of certain liabilities. To the extent that they are held to be legally invalid, disclaimers, exclusions, and limitations set forth in these Terms of Use, do not apply. Invalidity of such disclaimers, exclusions, or limitations shall not affect any other provision of these Terms of Use.

 

9. Indemnity
You agree to defend, indemnify, and hold harmless PeopleDoc, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees and costs, due to or arising out of your access to or use of the Site or Content on the Site, your uploading, e-mailing, posting, publishing, or otherwise transmitting Content to any Public Area or submitting any Content to PeopleDoc, your violation of the Terms of Use or any additional rules, guidelines, or terms of use posted for a specific area of the Site, or your violation of any rights of another.

11. Copyright/Trademark 
PeopleDoc and MyPeopleDoc are registered trademarks of. Other names or logos absent from this list does not constitute a waiver of any and all intellectual property rights that PeopleDoc has established in any of its products, features, or service names or logos. Other names appearing on the Site may be trademarks of their respective owners.

 

12. Export Restrictions/Legal Compliance
You may not access, download, use, or export the Site, or the Content provided on the Site, in violation of U.S. export laws or regulations, or in violation of any other applicable laws or regulations. You agree to comply with all export laws and restrictions and regulations of any United States or foreign agency or authority, and not to directly or indirectly provide or otherwise make available the services and products of PeopleDoc in violation of any such restrictions, laws, or regulations, or without all necessary approvals, including, without limitation, for the development, design, manufacture, or production of nuclear, chemical, or biological weapons of mass destruction. As applicable, you shall obtain and bear all expenses relating to any necessary licenses and/or exemptions with respect to your own use of the services of PeopleDoc outside the U.S. Neither the services of PeopleDoc nor the underlying information or technology may be downloaded or otherwise provided or made available, either directly or indirectly, (i) into Cuba, Iran, North Korea, Sudan, Syria, or any other country subject to U.S. trade sanctions, to individuals or entities controlled by such countries, or to nationals or residents of such countries other than nationals who are lawfully admitted permanent residents of countries not subject to such sanctions; or (ii) to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals and Blocked Persons or the U.S. Commerce Department’s Table of Denial Orders. By agreeing to these Terms of Use, you agree to the foregoing and represent and warrant that you are not located in, under the control of, or a national or resident of any such country or on any such list.

 

13. Russia - Specific Provisions
The Site and Content are not intended for use by the citizens of the Russian Federation residing in Russia. If you are a Russian citizen residing in Russia, you are notified, that any Content that you submit to PeopleDoc or input into the Site will be solely at your own risk and responsibility, and that you will not hold PeopleDoc accountable for any potential non-observance to the Russian Federation legislation.

14. Language
These Terms of Use have been drafted in several languages, including French. The language indicated as a priority for the interpretation of these Terms of Use shall be the French language version.

 

15. Applicable Laws
Without prejudice to any public applicable law and/or applicable international law, the law applicable to these Terms of Use is the French law, without regard to rules on conflict of laws. In the event of a dispute, jurisdiction shall be conferred solely on the French courts.
